1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of yellowpicnic.com and the Yellow Picnic meal subscription service (together, the “Service”), operated by Yellow Picnic LLC (“Yellow Picnic,” “we,” “us,” or “our”). By accessing the Service, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Service.

2. Eligibility

You must be at least 18 years old, or the age of majority in your state, to create an account or place an order. By using the Service, you represent that you meet this requirement.

3. The Service

Yellow Picnic offers customizable, chef-prepared meal plans delivered on a recurring basis. Menu items, pricing, delivery areas, and plan options are subject to change at our discretion; we’ll do our best to give you advance notice of material changes, especially to pricing (see Section 5).

4. Subscriptions and Auto-Renewal

Yellow Picnic meal plans are offered as subscription services that automatically renew until cancelled. By enrolling in a subscription, you authorize Yellow Picnic to charge the recurring subscription fee (plus applicable taxes and shipping) to your designated payment method at the frequency you select (e.g., weekly, bi-weekly, or monthly) until you cancel.

We will clearly display the current subscription price, billing frequency, and any introductory or promotional pricing on the checkout page before you complete your purchase. If your subscription price changes, we will provide you with advance notice as required by applicable law and the new price will apply to the next billing cycle after notice.

You may cancel your subscription at any time by emailing [email protected] or through your account page. To avoid being charged for the upcoming cycle, make your changes or cancellation by Wednesday at 11:59 PM EST before your next scheduled billing date. Cancellation will take effect at the end of your then-current paid period, and you will remain responsible for all charges already incurred.

5. Pricing, Billing, and Payment

All prices are listed in U.S. dollars and are subject to change. We accept the payment methods listed at checkout. You authorize us to store your payment information and charge it on the schedule described in Section 4. If a charge fails, we may retry the charge, pause your subscription, or contact you to update your payment method.

6. Delivery

Delivery days, windows, and areas are as shown at checkout and may vary by zip code. Yellow Picnic is not responsible for delays caused by circumstances outside our reasonable control (severe weather, carrier delays, incorrect delivery information provided by you, etc.). Please inspect deliveries promptly and contact [email protected] with any issues.

7. Ingredients, Allergens, and Nutrition

Full ingredient lists and allergen information for each meal are available on our Menu page and on the product packaging. Our meals are prepared in a facility that also handles milk, eggs, fish, shellfish, tree nuts, peanuts, wheat, soy, and sesame. While we follow strict cleaning and separation procedures, we cannot guarantee that any meal is completely free of these or other allergens.

Nutrition and calorie information is based on standardized recipes and data from recipe analysis software. Actual values may vary due to natural variations in ingredients and preparation. Nutrition information is provided for general educational purposes and is not a substitute for professional dietary advice.

8. Health Disclaimer

Our meal plans are designed to support common wellness goals such as weight management, balanced blood sugar, and heart-healthy eating patterns. Results will vary based on your overall diet, lifestyle, and individual health needs. Our meals are not intended to diagnose, treat, cure, or prevent any disease.

Information on this website and in our materials is for general informational purposes only and is not intended as medical advice, diagnosis, or treatment. Our meals and content are not a substitute for consultation with a qualified healthcare professional. 9. Account Responsibilities

You’re responsible for keeping your account credentials confidential and for all activity under your account. Notify us right away at [email protected] if you suspect unauthorized use.

10. Intellectual Property

All content on the Service — including recipes, photography, logos, and site design — is owned by Yellow Picnic or its licensors and is protected by intellectual property law. You may not copy, reproduce, or use it for commercial purposes without our written permission.

11. Prohibited Conduct

You agree not to misuse the Service, including by: attempting to interfere with its operation; reselling meals or subscriptions without authorization; providing false account or delivery information; or using the Service for any unlawful purpose.

12. Disclaimer of Warranties

The Service and all meals are provided “as is” and “as available.” To the fullest extent permitted by law, Yellow Picnic disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t guarantee the Service will be uninterrupted, error-free, or that any particular health or wellness result will occur.

13. Limitation of Liability

To the fullest extent permitted by law, Yellow Picnic will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, or for any amount exceeding the total you paid to Yellow Picnic in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold Yellow Picnic harmless from claims, damages, or expenses arising from your violation of these Terms or misuse of the Service.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we’ll post the updated Terms here with a new “Last updated” date and, where required by law, provide additional notice. Continued use of the Service after changes take effect means you accept the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law principles, and any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey.
